Zoventra Seller Agreement

Effective Date: June 17, 2026

This Seller Agreement ("Agreement") is entered into between Zoventra ("Marketplace", "we", "us", or "our") and the individual or business entity applying to sell on our platform ("Seller", "you", or "your"). By submitting a seller application, you agree to be bound by the terms of this Agreement.

1. Eligibility

To become an approved seller on Zoventra, you must:

Be at least 18 years of age or the legal age of majority in your jurisdiction
Have a valid government-issued ID and business information if applicable
Agree to all terms outlined in this Agreement
Complete the seller application and receive written approval from Zoventra

2. Seller Responsibilities

As a seller on Zoventra, you agree to:

Provide accurate, complete, and up-to-date product listings including descriptions, pricing, and images
Fulfill orders promptly and within the timeframes stated in your listings
Maintain a professional standard of customer service and respond to buyer inquiries within 48 hours
Ship products securely and provide tracking information for all orders
Honor your stated return and refund policies
Keep your inventory levels accurate to avoid overselling

3. Prohibited Items

Sellers may not list or sell the following on Zoventra:

Counterfeit, replica, or unauthorized goods
Illegal items or items that violate any applicable law or regulation
Hazardous materials not permitted for standard shipping
Adult content or age-restricted products without prior written approval
Items that infringe on intellectual property rights of any third party
Any product that Zoventra determines, in its sole discretion, is inappropriate for the marketplace

4. Fees & Subscription

Sellers are required to maintain an active monthly subscription to list and sell on Zoventra
Subscription fees are billed on a recurring monthly basis and are non-refundable
Zoventra reserves the right to update subscription pricing with 30 days' written notice
Additional transaction fees, if applicable, will be disclosed separately

5. Payouts

Seller payouts will be processed according to the payout schedule communicated at the time of approval
Zoventra reserves the right to withhold payouts in cases of suspected fraud, chargebacks, or policy violations pending investigation
Sellers are responsible for all applicable taxes on their earnings

6. Intellectual Property

By listing products on Zoventra, you grant Zoventra a non-exclusive, royalty-free license to display your product images, descriptions, and brand assets for the purpose of marketing and operating the marketplace.

You represent and warrant that you own or have the right to use all content you submit, and that such content does not infringe on any third-party rights.

7. Account Suspension & Termination

Zoventra reserves the right to suspend or terminate a seller account at any time for:

Violation of this Agreement or any Zoventra policies
Fraudulent activity or misrepresentation
Repeated negative buyer feedback or unresolved disputes
Non-payment of subscription fees
Any conduct deemed harmful to the Zoventra marketplace or its buyers

Sellers may terminate their account at any time by canceling their subscription and contacting Zoventra support. Termination does not entitle the seller to a refund of any fees paid.

8. Limitation of Liability

Zoventra is not liable for any indirect, incidental, special, or consequential damages arising from your use of the marketplace. Our total liability to you shall not exceed the fees paid by you in the three (3) months preceding the claim.

9. Dispute Resolution

Any disputes between Zoventra and a seller will first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with applicable law.

10. Amendments

Zoventra reserves the right to update this Agreement at any time. Sellers will be notified of material changes via email. Continued use of the marketplace after notice constitutes acceptance of the updated terms.
